Terms of Engagement

Mediaco The Presentation Company's mission is to provide service excellence as judged by our clients. This requires that we work with our clients to develop practical and innovative solutions to the technical and staging challenges that they face. Access to our services is available 24 hours a day, 7 days a week, by calling the main line of the office in the city that your engagement is being provided.

Management of the Engagement
The client will always have an opportunity to communicate with Mediaco. The company will assign a Production Coordinator responsible for managing and supervising the engagement. A client may request a change of the Production Coordinator at any time by contacting the General Manager. To provide the highest possible level of service, the Production Coordinator may assign various tasks to other Mediaco team members. Work may also be delegated and or sub-contracted to the company's pre-approved suppliers. All work assignments depend on several factors, including experience, ability and creativity.

Scope of the Engagement
It is important that Mediaco and the client agree on the scope of the engagement. For this reason, Mediaco sends a quotation outlining the costs and charges for the services. For any additions over and above the written quote, or for any changes, every effort will be made to provide an updated quotation for the services. If the changes or additions occur on site, or if there is not sufficient time to provide a revised written quotation, it must be understood that an oral commitment on the part of the client will suffice to engage the alterations. If questions arise, please discuss them with the Production Coordinator right away.

Authority to Act for the Client
As part of the engagement, the client authorizes Mediaco to contract on behalf of the client, all contracts, agreements, settlements, deals or other within the scope of our services to ensure fulfillment of the engagement.

Fees

Mediaco is committed to charging reasonable fees for its services. Several factors are considered in setting fees and charges:

The time and labour required for pre-production, production and post-production, including but not limited to skills, experience, duration, time sensitivities, creativity, design, assembly, manufacture, composition, installation, creation, operation and dismantle.

The fees customarily charged for similar services.

The time limitations imposed by the client or by the circumstances.

The nature and length of the professional relationship with the client.

The experience, reputation and abilities of the Production Coordinator and or Technicians providing the services.

Current market rates for the equipment, including any required spare, redundant or back-up equipment.

Any shipping, handling, preparing and or transportation costs.

Custom or unique product development or assembly.

Expenses
In addition to our fees, an account may include charges for other services Mediaco provides or arranges, such as travel expenses, per diem, sub contracted services, document management and other incidental expenses. If Mediaco is obligated to incur additional expenses, such as additional equipment, services or staff overtime on evenings or weekends in order to meet deadlines fixed by the client or other circumstances beyond the control of Mediaco, such expenses will be included in our accounts or may be billed separately. For unusually large expenses, the client may be requested to pay Mediaco in advance or pay the provider directly.

Estimates and Quotations
While every effort is made to provide the most current estimate or quotation for our services and solutions, the client engages Mediaco to provide solutions within the agreed-upon scope. An estimate or quotation, although based on the Production Coordinator's professional judgement and efforts, may be affected by factors outside the control of Mediaco and should not be considered a fixed or maximum or minimum fee.

Review
Our goal is the ultimate satisfaction of our client. We welcome the opportunity to provide detailed information in a personal post-event meeting with our clients, to enable their effective review of our services and the value therein.

Voice Messaging, Facsimile, E-Mail, Mobile Communications
To enhance our accessibility for clients and augment the quality of our services, Mediaco utilizes various methods of communication to ensure ease of production and engagement.

Voice Messaging is private and confidential to the respective employee.

Facsimiles will be forwarded on to the addressed recipient during regular business hours.

Email is directed to the personal computer of the addressee.

All Production Coordinators carry mobile phones and pagers, and the direct mobile phone number is made available to the client at the outset of the engagement.

Accounts
Mediaco The Presentation Company requires a 50% deposit to confirm our engagement. Mediaco welcomes the opportunity to facilitate an account set-up for the client. An account with Mediaco only provides the opportunity for a client to maintain a non 'cash-in advance' relationship for services, while the account is in good standing. After the client completes a standard account application, a history and credit rating assessment will occur. With prior credit approval, in some exceptional cases, a deposit may be waived until completion of the project. An invoice will be generated upon completion of the engagement and is payable upon receipt.

A deposit on an interim invoice may not take into consideration the matters listed under 'fees', as well as any extra charges or costs previously unquoted. If not, then this will be done at the time a final account is rendered.

A 2% per month compound interest penalty will be imposed for every month an account is in arrears. If an account is more than 45 days outstanding, no further services will be performed until the account is brought current. If an account remains unpaid, Mediaco will take action to collect the amount due, and Mediaco shall be entitled to the collection costs.

Termination
While we endeavour to retain every client, even in the most demanding of situations, the client may terminate the engagement at any time by providing written notice to the firm. Upon such action, all fees and expenses for work performed and or engagement provided to date and still owed before the termination, are due in full to Mediaco. The client is responsible for any expenses as may be necessary to terminate the engagement, including expenses incurred in connection with the transfer of the matter or information to other providers. Subject to applicable ethics rules, Mediaco may also terminate the engagement. Before taking such action, however, Mediaco would provide the client with written notice.

In case of cancellation, prior to load-in day, the following charges will apply per the confirmed event cost. Additional charges from event expenses may apply such as shipping or other out-of-pocket expenses as well as the percentage fee.

7 to 14 days : 25%
2 to 6 days : 50%
48 hours or less : 100%
